By accessing or using ReploChat, you agree to these terms. They govern your use of our platform, which operates on the official WhatsApp Business Platform (Meta).

These Terms & Conditions ("Terms") are a binding agreement between you (and the organisation you represent) and GOFTECH, operator of ReploChat. By creating an account or using the platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use ReploChat.
You must be at least 18 years old and able to form a binding contract. If you use ReploChat on behalf of a business, you represent that you are authorised to bind that business to these Terms.
ReploChat lets you connect your own WhatsApp Business number(s) and send template campaigns, run chatbot flows, operate a shared inbox, and manage contacts and bookings, via Meta's WhatsApp Business Platform. Features available to you depend on your subscription plan.
You must use ReploChat lawfully and in compliance with all applicable laws and with Meta's policies. By sending messages through ReploChat you agree to and are bound by the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy (where applicable), and the Meta Platform Terms. In particular, you agree that:
You are solely responsible for the content you send and for having a lawful basis and consent to contact your recipients. Violations can result in Meta restricting your number and in suspension of your ReploChat account.
Business-initiated messages require templates that are reviewed and approved by Meta. We submit your templates to Meta and reflect their status, but approval, categorisation, quality ratings, and messaging limits are determined by Meta, not by us. We are not responsible for Meta's decisions or for any resulting interruption to your messaging.
ReploChat depends on third parties, principally Meta (WhatsApp Business Platform) and infrastructure providers (see our sub-processors). We strive for reliable, uninterrupted service, but we do not guarantee uptime and are not liable for outages, changes, or restrictions caused by Meta or other third parties. Maintenance and downtime may occur.
You retain all rights to the content and data you put into ReploChat (your contacts, messages, templates, flows, and bookings). You grant us a limited licence to host and process that content solely to provide the service. You are responsible for the legality of your content and for your customers' data, for which you act as the data controller.
ReploChat, including its software, design, and trademarks, is owned by GOFTECH and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the platform per these Terms. You may not copy, resell, reverse-engineer, or create derivative works from the platform without our permission.
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that messages will always be delivered, as delivery depends on Meta and the recipient.
To the maximum extent permitted by law, GOFTECH will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the service will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.
You agree to indemnify and hold harmless GOFTECH and its team from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your content, your messaging to recipients, or your breach of these Terms or of Meta's policies or applicable law.
You may stop using ReploChat and delete your account at any time (see the Delete Account page). We may suspend or terminate your access if you breach these Terms, misuse the service, create risk to us or others, or fail to pay. Where practical we will give notice. Provisions that by their nature should survive termination (e.g. liability, indemnity, IP) will survive.
These Terms are governed by the laws of Pakistan, and the courts of Pakistan have jurisdiction over any dispute, without regard to conflict-of-laws rules. If you use ReploChat from outside Pakistan, you are responsible for complying with your local laws, and any mandatory consumer-protection rights you have under local law remain unaffected.
We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide additional notice. Continued use after changes take effect means you accept the updated Terms.
