Terms & Conditions

1. Acceptance of terms

These Terms & Conditions ("Terms") are a binding agreement between you (and the organisation you represent) and GOFTECH, operator of ReploChat. By creating an account or using the platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use ReploChat.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. If you use ReploChat on behalf of a business, you represent that you are authorised to bind that business to these Terms.

3. The service

ReploChat lets you connect your own WhatsApp Business number(s) and send template campaigns, run chatbots, WhatsApp Flows and automations, operate a shared inbox, and manage contacts, via Meta's WhatsApp Business Platform. Features available to you depend on your subscription plan.

4. Accounts & team members

• You are responsible for the accuracy of your account information and for keeping your credentials confidential.
• You are responsible for all activity under your account, including actions by managers/team members you invite.
• Team members share your workspace and your plan's quota; you remain the account owner and the party responsible for compliance and billing.
• Notify us promptly of any unauthorised use of your account.

5. Acceptable use & WhatsApp/Meta compliance

You must use ReploChat lawfully and in compliance with all applicable laws and with Meta's policies. By sending messages through ReploChat you agree to and are bound by the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy (where applicable), and the Meta Platform Terms. In particular, you agree that:

• You are the sender of record for your messages and you own the relationship with your recipients.
• You will only message recipients who have given valid opt-in to be contacted by you, and you will honour opt-out requests promptly.
• You will not send spam, or content that is unlawful, deceptive, harassing, hateful, infringing, or otherwise prohibited by Meta or law.
• You will not use ReploChat to violate others' privacy or to scrape or buy contact lists.

You are solely responsible for the content you send and for having a lawful basis and consent to contact your recipients. Violations can result in Meta restricting your number and in suspension of your ReploChat account.

6. Message templates & approvals

Business-initiated messages require templates that are reviewed and approved by Meta. We submit your templates to Meta and reflect their status, but approval, categorisation, quality ratings, and messaging limits are determined by Meta, not by us. We are not responsible for Meta's decisions or for any resulting interruption to your messaging.

7. Subscriptions, billing & refunds

• Paid plans are billed monthly or yearly according to the plan you select.
• Your plan sets usage limits (numbers, contacts, templates, campaigns, flows, team members) and feature access. Exceeding a limit requires an upgrade.
• Unless required by law, payments are non-refundable.
• When a subscription expires or is cancelled, access to plan-gated features pauses until renewal. Your data is retained per our Privacy Policy.
• We may change pricing or plan features with reasonable notice; changes apply from your next billing cycle.

8. Third-party services & availability

ReploChat depends on third parties, principally Meta (WhatsApp Business Platform) and infrastructure providers (see our sub-processors). We strive for reliable, uninterrupted service, but we do not guarantee uptime and are not liable for outages, changes, or restrictions caused by Meta or other third parties. Maintenance and downtime may occur.

9. Your content & data

You retain all rights to the content and data you put into ReploChat (your contacts, messages, templates, flows, and form responses). You grant us a limited licence to host and process that content solely to provide the service. You are responsible for the legality of your content and for your customers' data, for which you act as the data controller.

10. Intellectual property

ReploChat, including its software, design, and trademarks, is owned by GOFTECH and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the platform per these Terms. You may not copy, resell, reverse-engineer, or create derivative works from the platform without our permission.

11. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that messages will always be delivered, as delivery depends on Meta and the recipient.

12. Limitation of liability

To the maximum extent permitted by law, GOFTECH will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the service will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless GOFTECH and its team from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your content, your messaging to recipients, or your breach of these Terms or of Meta's policies or applicable law.

14. Suspension & termination

You may stop using ReploChat and delete your account at any time (see the Delete Account page). We may suspend or terminate your access if you breach these Terms, misuse the service, create risk to us or others, or fail to pay. Where practical we will give notice. Provisions that by their nature should survive termination (e.g. liability, indemnity, IP) will survive.

15. Governing law

These Terms are governed by the laws of Pakistan, and the courts of Pakistan have jurisdiction over any dispute, without regard to conflict-of-laws rules. If you use ReploChat from outside Pakistan, you are responsible for complying with your local laws, and any mandatory consumer-protection rights you have under local law remain unaffected.

16. Changes to these terms

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide additional notice. Continued use after changes take effect means you accept the updated Terms.
